Purposely App Terms of Use ("Agreement")

Purposely is licensed to You (End-User) by Better Convos LLC, for use only under the terms of this License Agreement.

By downloading the Application from the Apple App Store, and any update thereto (as permitted by this License Agreement), You indicate that You agree to be bound by all of the terms and conditions of this License Agreement, and that you accept this License Agreement.

The parties of this License Agreement acknowledge that Apple is not a party to this License Agreement and is not bound by any provisions or obligations with regard to the Application, such as warranty, liability, maintenance and support thereof. Better Convos LLC, not Apple, is solely responsible for the licensed Application and the content thereof.

This License Agreement may not provide for usage rules for the Application that conflict with the latest App Store Terms of Service. Better Convos LLC acknowledges that it had the opportunity to review said terms and that this License Agreement does not conflict with them.

All rights not expressly granted to You are reserved.

1. THE TRADEMARK

The name “Purposely” and its associated logos, marks, and design elements (the “Trademark”) are the exclusive property of Better Convos LLC, a Wisconsin limited liability company. The Trademark may be protected under pending applications before the United States Patent and Trademark Office (USPTO), and/or common law and statutory rights.

Any unauthorized use, reproduction, or imitation of the Trademark is strictly prohibited and may constitute infringement of Better Convos LLC’s intellectual property rights.

By accessing or using this application or any services provided by Better Convos LLC, you agree not to infringe or misappropriate the Trademark and to respect the company’s exclusive rights at all times.

2. THE APPLICATION

Purposely Application (hereinafter: Application) is a piece of software created as a relationship coaching and connection tool, customized for Apple mobile devices.

This Application is not intended for use in connection with any industry-specific regulations (e.g., HIPAA, FISMA). You may not use this Application in a way that violates GLBA or similar regulations.

3. SCOPE OF LICENSE

You are granted a limited, non-transferable license to use the Purposely Application on Apple-branded devices in accordance with App Store Terms of Service. You may not sublicense, reverse-engineer, modify, copy, or distribute the Application without written consent from Better Convos LLC.

4. TECHNICAL REQUIREMENTS

You are responsible for confirming your device is compatible. Better Convos LLC reserves the right to update or change technical requirements at any time.

5. NO MAINTENANCE OR SUPPORT

Better Convos LLC is not obligated to provide support or maintenance. Apple is not responsible for support services related to the Application.

6. USE OF DATA

You acknowledge that Better Convos LLC may access and use your data per your legal agreement and our Privacy Policy.

7. USER GENERATED CONTRIBUTIONS

If users are ever able to post or submit content ("Contributions"), those contributions may be governed by the Privacy Policy and are subject to rules of respectful, legal, and non-offensive behavior. You represent that your contributions do not infringe, mislead, abuse, or violate any laws.

8. CONTRIBUTION LICENSE

You retain ownership of your Contributions but grant us the right to use feedback or suggestions. You agree not to hold Better Convos LLC liable for content you create.

9. LIABILITY

Better Convos LLC is not liable for damages except in cases of gross negligence or intentional harm. You must use appropriate backups and not alter or manipulate the Application.

10. WARRANTY

Better Convos LLC warrants that the Application is free of malware at download and functions as described. You must notify us of any issues within 10 days. Warranty limitations apply under various conditions.

11. PRODUCT CLAIMS

Better Convos LLC, not Apple, is responsible for addressing product claims related to the Purposely Application, including but not limited to product liability, compliance issues, or consumer protection laws.

12. LEGAL COMPLIANCE

You represent you are not located in a U.S. embargoed or restricted country and are not listed on any U.S. Government prohibited lists.

14. TERMINATION

Your license is valid until terminated by Better Convos LLC or yourself. Upon termination, you must cease all use and delete all copies of the Application.

15. THIRD-PARTY TERMS OF AGREEMENTS AND BENEFICIARY

Apple and its subsidiaries are third-party beneficiaries of this agreement. Apple may enforce this agreement against you.

16. INTELLECTUAL PROPERTY RIGHTS

In the event of any third-party claim of IP infringement related to the Purposely Application, Better Convos LLC, not Apple, will handle all investigation, settlement, and resolution.

17. APPLICABLE LAW

This Agreement is governed by the laws of the State of Wisconsin, excluding conflict of law rules.

18. MISCELLANEOUS

Invalid provisions will be replaced with valid ones that achieve similar goals. Changes must be in writing.

19. SUBSCRIPTIONS

Subscription details:

  • Options: 1-week with 3-day free trial or 1-year.

  • Subscriptions auto-renew unless canceled 24 hours prior to the end of the term.

  • You may manage subscriptions via your iTunes or Play Store settings.

  • No cancellation during an active period.

  • Unused portions of free trials may be forfeited upon subscription.
